I am looking for some advise regarding fund raising for investment purposes.
Is it legal for corporations based outside(No registered office in canada, no presence in the country) Canada to raise investment funds within canada?
What will be the legal consequences if they are going so with out any documentation/ registered office?

Someone is doing so, and it is from an asian country. I smell a scam.
 
Are you raising funds or is someone else?

Its legal, but there are stipulations (read: accredited investors)
